Marlene J. Bidelman is Senior Counsel with more than 25 years of experience representing lenders, investment firms, sponsors, borrowers and other real estate market participants in complex commercial real estate transactions nationwide. Ms. Bidelman is known for providing practical and strategic counsel that helps clients efficiently structure and close sophisticated transactions.

Ms. Bidelman’s practice primarily focuses on commercial real estate finance, including mortgage, construction and portfolio loan transactions. She also represents mezzanine lenders, preferred equity investors and joint venture participants in negotiating mezzanine loan documents, preferred equity agreements, intercreditor agreements, operating agreements and other transaction documents. She frequently serves as local counsel in Tennessee, Georgia and Pennsylvania for commercial real estate financing transactions.

In addition to her commercial real estate practice, Ms. Bidelman advises clients on entity formation, governance and restructuring matters. She regularly drafts and negotiates partnership agreements, operating agreements, shareholder agreements, buy-sell agreements, contribution agreements, written consents, employment agreements and other organizational documents in connection with the formation, merger, conversion and dissolution of business entities.

Ms. Bidelman also represents buyers, sellers, developers, landlords and tenants in a broad range of commercial real estate acquisitions, dispositions, development and leasing matters.

Before joining Weiss Law, Ms. Bidelman was Of Counsel at Kleinbard LLC based in Philadelphia, where she represented one of the world’s largest real estate investment firms in their portfolio loan transactions nationwide. Prior to joining Kleinbard LLC, she was Of Counsel at DLA Piper LLP (US), an international law firm ranked 3^rd in the Am Law 25, in their Atlanta office.

Ms. Bidelman earned her J.D. from Duquesne University School of Law, where she served as Associate Recent Decisions Editor of the Duquesne University Law Review. She is admitted to practice in Pennsylvania, Georgia and Tennessee.
